About OptMum Digital

OptMum Digital is a digital marketing agency owned and operated by Mr. Shubham Sethi, dedicated to helping businesses grow their presence online. It functions as a sister concern to Mumbai Option, a separate proprietorship also managed by Mr. Shubham Sethi, and both entities operate under the same business umbrella.

While OptMum Digital is the executing agency for most digital and branding services, Mumbai Option (9th, Office no 903, Ocus Quantum, ocus quantum, Sector 51, Gurgaon, Haryana, India - 122003 (Additional Place of Business), GST NUMBER: 06ARQPS6811C1ZN) supports operations and backend administration. Both of these proprietorship concerns are focused on offering comprehensive online marketing services, including strategy, branding, content, SEO, website development, and performance marketing, to help companies establish and grow their brands in the digital space.

By engaging with OptMum Digital, you are entering into a professional relationship with a legally recognized business entity, operating in synergy with its sister concern, Mumbai Option.

1. Scope of Services

We provide a wide range of consultancy and execution services including but not limited to:

• Social Media Marketing
• Search Engine Optimization (SEO)
• Google & Meta Ads (Search, Display, Reels, and more)
• Website Design & Development
• Video Production
• Video Editing
• Brand Strategy & Creative Design
• Content Creation (Copywriting, Graphics, Reels, etc.)
• Consulting for Digital Growth

The exact nature, deliverables, and timelines of your project will be communicated via email or proposal. All work is performed with professional care and aligned to best practices.

2. Engagement & Execution

• Projects begin upon written confirmation via email, WhatsApp, or signing of a proposal.
• Work may commence only after the agreed initial payment is received.
• Clients must provide timely feedback, approvals, and content to avoid delays.
• Any revisions or scope expansion beyond what was initially agreed may involve additional charges.

3. Payment Terms

• All service fees are payable in advance or as per the contract signed.
• For monthly retainers, payments are to be made within 3-4 Working days of invoice being shared or as per the contract signed.
• Delayed payments beyond 7 working days may lead to work suspension.
• Taxes as applicable (GST, TDS) will be charged and reflected in invoices.
• The amount paid is non-refundable in any circumstances.

4. Intellectual Property & Usage Rights

• Upon full payment, all final deliverables (designs, strategies, creatives, etc.) become the property of the client.
• We retain the right to showcase any non-confidential work in our portfolio and marketing materials.
• Any proprietary tools, frameworks, or templates used remain the intellectual property of OptMum Digital.

5. Confidentiality

We respect the confidentiality of all client information. Any data, login credentials, business strategies, or internal communications shared with us will be treated as confidential and will not be disclosed to any third party without prior consent.

6. Limitation of Liability

While we strive to deliver measurable results, outcomes (such as rankings, engagement, or leads) can depend on various external factors.
OptMum Digital will not be liable for:

• Any indirect, incidental, or consequential damages.
• Delays caused by third-party tools/platforms (e.g., Meta, Google).
• Losses due to force majeure events (cyber-attacks, internet outages, etc.).

Our total liability, if any, will be limited to the amount paid for the specific month in which the issue occurred.

7. Indemnification

Each party (“Indemnifying Party”) shall indemnify, defend and hold harmless the other party, including its officers, directors, employees, agents, and representatives (“Indemnified Parties”), from and against any and all actions, claims, losses, costs (including legal fees), damages, or liabilities (“Losses”) arising out of or related to:

• Negligence or willful misconduct of the Indemnifying Party, its personnel, or associated third parties;
• Breach of any representation, warranty, or obligation under this agreement by the Indemnifying Party;
• Failure by the Indemnifying Party to comply with applicable laws and regulations.

8. Termination

Either party may terminate ongoing services with 30 days written notice or as per contract signed.
Immediate termination may apply by agency in cases of and the matter shall be taken care by the applicable terms agreed via contract or proposal:

• Non-payment by client
• Breach of terms
• Unethical conduct or abusive behavior

All dues till the date of termination must be cleared before closure.

9. Governing Law

This agreement and any dispute arising from it shall be governed by the laws of India, with jurisdiction in Gurugram, Haryana.

10. Changes to Terms

OptMum Digital reserves the right to update these terms and conditions at any time. Clients are encouraged to review this page periodically. Continued use of our services signifies your acceptance of any updated terms.
